The business in plain English
Synaptics designs computer chips, plus the software that goes with them, and relies on outside manufacturers to produce the chips. It sells standard and custom chips to device makers. These are original equipment manufacturers (OEMs), the brands behind finished products, and original design manufacturers (ODMs), which build devices for those brands. Its focus is edge AI, meaning chips that run artificial intelligence on the device itself rather than in a distant data center.
Its products fall into three markets. Core IoT (Internet of Things, or everyday connected devices) includes Wi-Fi, Bluetooth and GPS chips and the Synaptics Astra edge AI processors. These go into smart-home gear, security cameras, drones and wearables. Enterprise and Automotive covers Natural ID fingerprint sensors for laptops, DisplayLink chips for connecting external displays, touch sensing for robots, and in-car touch and display technology. Mobile supplies touch controllers for smartphones and tablets.
Sales lean heavily on Asia. Revenue was about $1.2 billion in the fiscal year ended June 27, 2026. China accounted for 44.8%, Taiwan 30.4%, Japan 10.7% and South Korea 6.2%; the United States was 2%. Synaptics has agreed to become part of ON Semiconductor (onsemi), with each share converting into 1.350 onsemi shares. The deal is expected to close in mid-2027 if stockholders and regulators approve.

What could go wrong
- The onsemi merger could stall or collapse. The deal needs Synaptics stockholder approval and antitrust clearances. Either side can end it if it is not completed by June 25, 2027, with possible extensions. A failed deal could hurt the business and share price.
- Deal value moves with onsemi's stock. Holders would get a fixed 1.350 onsemi shares per Synaptics share, not a set dollar amount. If onsemi's price falls before closing, the payout shrinks. Afterward, holders carry onsemi's integration risks.
- A few big customers drive sales. Synaptics relies on a concentrated group of device makers. Losing a major customer, a customer not renewing a project, or a customer's product selling poorly could materially hurt results.
- Heavy dependence on China and trade policy. China supplied 44.8% of revenue and Taiwan 30.4% in the fiscal year ended June 27, 2026. Tariffs, export controls or other trade-policy shifts could disrupt sales or raise costs.
- Debt exceeds cash. Total debt was $837 million against $443 million of cash and investments as of June 27, 2026. Loan covenants and convertible notes (debt that can turn into shares) could limit flexibility or dilute shareholders.
- Cyclical and crowded chip markets. Its Core IoT, Enterprise and Automotive, and Mobile markets are cyclical and intensely competitive. Revenue fell from $1.74 billion in fiscal 2022 to $959 million in fiscal 2024.

For income and retirement investors
Synaptics does not pay a dividend and paid none in fiscal 2022 through fiscal 2026, so it provides no income. Any return depends on the share price rising, and a retiree drawing income from it would have to sell shares. The company has returned cash through buybacks instead, spending $404.5 million over those five years. Even so, the share count rose 0.7% between August 2021 and August 2026.
The shares have fallen hard in downturns. They dropped 64.4% in the 2008 financial crisis and 40.4% in the 2020 COVID crash. Both times they got back to their earlier peak within about six months of the low. In the 2022 bear market they fell 69.5%, and as of October 28, 2026, they had not returned to that peak. Single stocks carry more risk than diversified funds, which spread money across many companies.
Questions investors ask
How does Synaptics make money?
Synaptics makes money by selling chips, along with supporting software, to companies that build devices. Its products include Wi-Fi and Bluetooth chips, Astra edge AI processors, fingerprint sensors for laptops, DisplayLink display chips, and touch controllers for smartphones and cars. Revenue was about $1.2 billion in the fiscal year ended June 27, 2026. Most of it came from Asia: China accounted for 44.8% and Taiwan 30.4%, while the United States accounted for 2%.
Does Synaptics pay a dividend?
No. Synaptics paid no dividends from fiscal 2022 through fiscal 2026. Instead, it spent $404.5 million buying back its own shares over those five years. Those buybacks did not shrink the share count, which rose 0.7% between August 2021 and August 2026. An investor who needs regular income from Synaptics would have to sell shares to raise cash, since the stock pays nothing out.
What happens to Synaptics stock if onsemi buys the company?
Each Synaptics share would become 1.350 shares of ON Semiconductor (onsemi) common stock, with cash paid instead of fractional shares. Synaptics signed the agreement on June 25, 2026, and the deal is expected to close in mid-2027 if stockholders and regulators approve. Because the ratio is fixed, the deal's dollar value moves with onsemi's share price. Synaptics may owe onsemi a $235 million fee in some cases, such as accepting a better offer. Onsemi may owe Synaptics $320 million if certain regulatory approvals fail.
Is Synaptics profitable?
No, not in its latest fiscal year. For the year ended June 27, 2026, Synaptics posted a net loss of $490.8 million, or $12.62 per diluted share, even as revenue grew 11.4% to about $1.2 billion. It also had a $67.1 million operating loss. It still produced $101.4 million of free cash flow, the cash left after running the business and paying for equipment. The company earned $125.6 million in fiscal 2024 before swinging to losses.
How volatile is Synaptics stock?
Very volatile. Over the year to October 28, 2026, its beta was 2.39. That means it tended to move more than twice as much as the overall stock market. At one point in that year it was down 39.5% from a high. The stock rose 200% in 2021, roughly tripling, then dropped 67% in 2022. Its worst decline in about 21 years of price history was 85.3%. Over the five years to October 28, 2026, it lost about 9% a year, though it gained 65.7% over the latest year.
